SEC Filing Delays
Understanding the timing limitations of SEC filings is critical:
- Form 13F (Quarterly Holdings): Filed within 45 calendar days after each quarter end. By the time you see the data, the positions may be 45 to 90+ days old. The investor may have already sold, reduced, or significantly changed their position.
- Form 4 (Insider Trades): Filed within 2 business days of a transaction. While more timely, Form 4 data reflects past transactions, not future intentions.
- Amendments: Filers may submit amendments that change previously reported data. We process amendments as they become available, but there may be a delay.
Data Accuracy
While we take care to present accurate data, there are inherent limitations:
- CUSIP-to-ticker mapping: Securities are identified by CUSIP numbers in 13F filings. Our automated mapping to stock tickers is generally accurate but may occasionally produce errors, especially for newly issued securities, corporate actions, or edge cases.
- Value calculations: Portfolio values and percentages are derived from the reported market values in filings and may not reflect current market conditions.
- Parsing errors: Automated parsing of XML and SGML filings may occasionally introduce errors. We validate data but cannot guarantee 100% accuracy.
- Incomplete data: Some filers request confidential treatment for certain positions, which are then omitted or delayed from public filings.
We recommend cross-referencing important data points directly with the original filings on SEC EDGAR.
What 13F Filings Do NOT Show
It is equally important to understand what is excluded from 13F filings:
- Short positions - An investor may be net short on a stock while appearing to hold a long position
- Derivatives and options - Complex hedging strategies are not fully visible
- Fixed income - Bonds, treasuries, and other fixed income instruments
- Foreign securities - Non-U.S. listed securities are generally excluded
- Private investments - Private equity, venture capital, and private credit
- Cash positions - Cash and cash equivalents are not reported
A 13F filing provides only a partial snapshot of an investor's total portfolio and strategy.
